These Terms Of Service (“Agreement”) set forth the legally binding terms for your use of the ALIagents.ai website (“Website”), owned and operated by ALIagents AI (The "Company," "ALIagents," "We," "Our," or "Us") By accessing or using our Website, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not access or use our Website.

The Services are provided by ALIagents AI, to provide creative generative tools for our users to express their creativity to produce user-generated characters from text prompts, and/or user-prompted character-generated media (“Content”). The Services use an artificial intelligence (“AI”) tool to generate this Content. This use of AI is relatively new and still evolving. As a result, while we have taken — and continue to take — efforts to preclude your creation of extreme content, we cannot guarantee the suitability or appropriateness of the resulting images you generate. You are solely responsible for your use of the Services, including your text prompts, generation of Content, and the consequences of your Content Sharing (as defined below).

By using ALIagents.ai, you are representing that you are of legal age to enter into a binding contract in your legal jurisdiction and agree to these Terms. If you are using the Services on behalf of a business or other entity, you also represent that you have authority to bind them to these Terms. If you are not of legal age, do not agree to these Terms, or do not have that authority, you must not access or use the Services and any use would be wholly unauthorized and in violation of these Terms.

By accessing or using the ALIagents.ai website in any manner, including, but not limited to, visiting or browsing the Site, contributing content or other materials to the Site, accessing API related to ALIagents.ai, using any and all AI systems, Large Language Models, and/or fine-tuning model sources, third party or otherwise, and/or creating characters, assets, AI systems, and/or content that uses data sourced from ALIagents.ai, you agree to be bound by these Terms and Conditions and the Community Guidelines of ALIagents.ai and the AI Protocol, and if you are an employee or an agent acting for a third party, to bind your employer or that third party to these Terms and Conditions.

USER-GENERATED CONTENT

You bear sole responsibility for any content you create or upload on the Website, encompassing text, images, or other media (“User-Generated Content”). By uploading and/or generating User-Generated Content, you attest and assure that you possess the requisite rights and permissions to do so. Ownership of any User-Generated Content uploaded to the Website remains with you. However, by uploading User-Generated Content, you accord ALIagents.ai a non-exclusive, royalty-free, global, enduring, and irrevocable license to utilize, reproduce, distribute, exhibit, and amend your User-Generated Content in alignment with the functioning of the Website, as well as promotion, marketing, and any other commercial purposes.

To engage with many Services offered by ALIagents.ai, it is necessary to have a blockchain address and a third-party wallet. Your account on ALIagents.ai ("Account") will be linked to your blockchain address. Should you wish to personalize your ALIagents.ai profile further, you're welcome to add extra information, such as a profile picture, to your Account.

Your Account on ALIagents.ai will display the ALI Agents associated with your blockchain address, along with any content linked to such ALI Agents. By utilizing your wallet in tandem with our Service, you acknowledge that you are operating the wallet according to the terms and conditions set by the wallet's provider. Wallet services are independent of ALIagents.ai; we do not manage, maintain, or have custody over in-dApp wallets, nor do we have custody or control over your wallet's contents, including any capability to retrieve or transfer its contents. ALIagents.ai assumes no responsibility or liability in relation to your wallet usage and makes no representations or warranties about how any dApp Services will function with any particular wallet. Ensuring the security of your wallet is solely your responsibility, and you should never share your wallet credentials or seed phrase with anyone. If you encounter any issues with your wallet, please contact your wallet provider directly. Additionally, you are solely responsible for your Account and any associated wallet. We cannot be held accountable for any actions or omissions by you related to your Account or as a result of your Account or wallet being compromised. Should you become aware of or suspect any security issues related to the Service or your Account, you agree to notify us immediately.

You also affirm that you will adhere to all applicable laws (e.g., local, state, federal, and other laws) when using the Service. We may need to restrict, suspend, or terminate your access to the Service to comply with legal obligations and to ensure the safety of our platform and users. Furthermore, by using the Service, you confirm that: (a) you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction that is subject to a comprehensive U.S. Government embargo ("Embargoed Jurisdiction"); (b) you are not subject to any sanctions administered by the U.S. Government, any other government, or the United Nations (“Sanctions”); (c) you are not owned or controlled, directly or indirectly, by any person subject to Sanctions, or located in, ordinarily resident in, or organized under the laws of, any Embargoed Jurisdiction; (d) none of your officers, managers, directors, shareholders, or authorized representatives is subject to Sanctions, or is located in, ordinarily resident in, or organized under the laws of, any Embargoed Jurisdiction, or is owned or controlled, directly or indirectly, by any person subject to Sanctions or located in any Embargoed Jurisdiction; (e) you have not and will not engage in transactions with any persons or entities falling into categories (a)-(d); (f) you have not and will not conduct transactions for the benefit of any persons or entities falling into categories (a)-(d). You pledge to maintain the accuracy of these statements throughout the duration of this agreement. If you access or use the Service from outside the United States, it is your responsibility to ensure that such access and use do not contravene any local laws.

INDEMNITY

COMMUNITY GUIDELINES

Hate Speech and Discrimination: Users engaging in hate speech, promoting violence, or discriminating against individuals based on race, ethnicity, religion, gender, sexual orientation, disability, or other comparable attributes will face expulsion from the ALIagents.ai dApp.

Violent Extremism and Organized Crime: Users who advocate for or support terrorism, violent extremism, human trafficking, organized crime, or related activities will face expulsion from the ALIagents.ai dApp.

Child Exploitation: Users must actively work to eliminate all forms of child exploitation within the AI Protocol ecosystem. This includes a zero-tolerance policy for child pornography, requiring the implementation of effective automated moderation systems, hardcoded filters, and any necessary actions to prevent the creation, distribution, or dissemination of such content. AI Protocol developers are committed to creating a robust anti-Child Sexual Abuse Material (CSAM) AI filter, which will be made available to users to enhance their preventive efforts. Failure to implement these measures or involvement in child exploitation will lead to expulsion from the ALIagents.ai dApp, reaffirming the community's dedication to ethical standards and child protection.

Compliance with Laws: Users must comply with all relevant laws and regulations of their jurisdiction, including those related to copyrights, intellectual property, and rights of publicity. Users are responsible for ensuring their contributions and interactions within the AI Protocol do not violate the rights of others. The AI Protocol will not bear responsibility for any user who breaches these laws or infringes on the intellectual property rights of others. Violations of these guidelines, including unauthorized use or duplication of copyrighted content, will result in removal from the ALIagents.ai dApp.

Religious Sensitivity: Users who intentionally disrespect, misrepresent, or discriminate against any religious beliefs, practices, or figures will face expulsion from the ALIagents.ai dApp.

Political Sensitivity: Users attempting to influence, interfere with, or manipulate political events, elections, or public opinion in unethical or illegal ways will face disciplinary actions.

This includes spreading misinformation, creating deepfakes, or impersonating political figures for harmful purposes. Users found violating these guidelines will be removed from the ALIagents.ai dApp.

TERMINATION

ALIagents AI reserves the right to revoke your access to the Website at any juncture, for any rationale, without notification. You may also cease your use of the Website at any time by discontinuing your use of the Website.

APPLICABLE LAW

This Agreement shall be steered by and interpreted in congruence with the laws of the Republic of Pakistan, disregarding its conflict of laws stipulations.

LEADERBOARD DISCLAIMER

ALIagents AI allows users to rank on an in-dApp Leaderboard, in competition with other users of the website. You or your ALI Agent may rank within a weekly cycle, and our formulaic point system determines the rankings of users and their ALI Agents. We reserve the right to determine Leaderboard rankings at our complete and final discretion. Leaderboard standings and ranking metrics and formula are subject to change at any time, with or without notice, at our sole discretion.

MODIFICATIONS TO THIS AGREEMENT

ALIagents AI holds the right, at our sole discretion, to alter or substitute these Terms at any given time. In the event of a significant revision, we will ensure to provide a minimum of 30 days' notice before the new terms become effective. The determination of what constitutes a significant change will be made at our sole discretion. Your ongoing usage of the Website after any such alterations signifies your approval of the updated Agreement.

Payment: All transactions conducted on the website will be facilitated through secure payment channels. You commit to furnish accurate and complete payment details when executing a purchase on the website. Any deceitful or unauthorized employment of payment mechanisms is strictly forbidden.

Termination: We retain the right to annul your account at any moment without prior notification if you infringe our terms and conditions or partake in any conduct that we judge detrimental to the website or its users.
